END USER LICENSE AGREEMENT TERMS OF USE. This Terms of Use Agreement is between the users ("Users") of the goods and services that provides the ability to build and manage a web site on the Internet ("Services") provided by Equine.com. The Services are available only to those Users who agree to the terms and conditions set forth in this Agreement without modification. Persons who do not abide by the terms and conditions of this Agreement will be unable to use this the Services, and their accounts will be subject to termination. Anyone using the Services covered herein consents to monitoring of such use. PRIVACY POLICY Information Equine.com collects from its Users is used for internal review by Equine.com. Any personal information provided by Users, including, but not limited to, credit card information, address, e-mail, telephone and fax numbers, as well as demographic and customer identification, will not be disclosed to any third party, unless otherwise approved in writing by User, or as required by law. Equine.com will maintain this information according to its strict security and confidentiality standards. Equine.com does not sell its mailing list, or the information provided by Users, nor does Equine.com make available said information to any outside organization. Users submitting any information to Equine.com shall be responsible for the integrity of such, that said information is not false, fraudulent, or otherwise in violation of any local, state, or federal law. Users shall be responsible for updating their customer information immediately upon any changes occurring therein. FEES There is an annual fee of five-hundred ($500) to utilizes the Services. PAYMENT OF INVOICES Accounts are automatically billed annually to the credit card on record of each User, unless otherwise agreed to by Equine.com in writing. Payment is due on the date of each anniversary of the payment period. Credit cards are charged automatically on the anniversary date of the payment period, unless ECSI receives written notification from User indicating otherwise. Users will receive annual invoices via electronic mail, explaining the applied charges in detail. Any disputes of invoices must be submitted to Equine.com, in writing, within ten (10) days of receipt thereof by User. If User's payment is returned to Equine.com, rejected, or otherwise deemed unpaid, User will be considered in immediate default of this Agreement and subject to a returned check/rejected payment charge of $25 from Equine.com. Accounts unpaid for 45 days after date of invoice may have their Service interrupted. Equine.com reserves the right to suspend Service without prior notification. Such interruption does not relieve User from the obligation to pay the charge. Service will be restored upon payment of any outstanding balance. Only written request by User to terminate the Services relieves said User of its obligation to pay the future account charges, including monthly charges and transaction or order fees. Accounts in default are subject to a minimum interest charge of 1.50% per month on the outstanding balance, or the maximum amount allowable pursuant to local, state or federal law. If User chooses not to reactivate its Services after termination thereof, the outstanding balance and late fees still apply. SOFTWARE Any software ("Software") available within this Web Site is the copyrighted work of Equine.com except where explicitly noted otherwise. Use of the aforementioned Software is governed by the terms of this end user license agreement ("EULA"). An end user will be unable to install any Software that is accompanied by or includes an EULA unless he or she first agrees to the EULA terms. Any Software available within this Web Site is warranted, if at all, only according to the terms of the EULA. Equine.com disclaims all other warranties, express and/or implied, to the maximum extent permitted by applicable law. In no event shall ECSI be liable for any damages whatsoever, even if Equine.com has been advised of the possibility of such damages. SYSTEM REQUIREMENTS Users, in order to utilize the Services, must have access the Internet. Users are solely responsible for obtaining such and ECSI shall not be responsible for providing Internet service to Users. Equine.com shall not be responsible for any fraudulent use or charges made to Users by third parties or unauthorized personnel in connection with Users' Internet connection, Users' access to the Services, and/or Users' use of the Services. TERM The term shall commence on the date of this Agreement and, except as otherwise provided in this Agreement, shall expire one (1) year thereafter. RENEWAL This Agreement shall automatically renew for successive annual periods at renewal rates applicable at the time, unless notice of non-renewal is provided at least thirty (30) days beforehand. TERMINATION Either party may terminate this Agreement on thirty (30) days notice if the other party has materially breached or is otherwise not in compliance with any provision of this Agreement, and such breach or noncompliance is not cured within such thirty (30) day period. Equine.com reserves the right to immediately suspend any customer access to the Services until such breach or noncompliance is cured. Should Equine.com cancel the Services, prepaid annual fees will be prorated and either refunded, or deducted from any outstanding balances User may have with Equine.com. Should the User cancel its Agreement for Service with Equine.com, annual fees will be prorated and either refunded, or deducted from any outstanding balances User may have with Equine.com. MODIFICATIONS TO THIS AGREEMENT Equine.com reserves the right to change its policies or prices for successive renewal periods, including, without limitation, the pricing structure set forth, monthly charges, setup fees, and terms set forth in this Agreement. If Equine.com makes any changes or modifications to this Agreement, it will give User at least thirty (30) days notice prior to the renewal date. User will be deemed to accept the terms of said modifications if no objection by User is tendered to Equine.com in writing. UNSOLICITED MATERIALS The sending of unsolicited electronic mail to Users or other persons in which our service is used is strictly prohibited. Equine.com reserves the right to terminate an account upon an indication of such activity, without reimbursement to the User. AGENCY Under no circumstances shall this Agreement and/or Users' use of the Services be considered a creation of an agency, partnership, joint venture, employee-employer, or franchise-franchisor relationship with Equine.com. Users shall be considered independent contractors, and shall have no business relationship with Equine.com independent of this Agreement, unless agreed to in writing and independent of this Agreement. STANDARDS OF USE Violating any of the terms and conditions of this Agreement is grounds for termination of Services, without reimbursement to User. Equine.com reserves the right to terminate any user at its sole discretion as deemed necessary to protect the rights of other Users, without reimbursement. User agrees to behave in an ethical manner regarding the use of the Services. User further agrees to indemnify and hold harmless Equine.com, its owners, employees, and agents for any consequences of User's actions. User also agrees to abide by and comply with all local, state and federal laws governing its use of commerce, telecommunications and computers when using the Services. User understands that Equine.com exercises no control whatsoever over the content or accuracy of the information passing through the Internet. Equine.com makes no warranties of any kind, whether expressed or implied, for the Service it is providing, except as set forth in this Agreement. Equine.com also disclaims any warranty of merchantability or fitness of a particular purpose. Equine.com will not be responsible for any damage its users may suffer herein. This includes loss of data resulting from delays, non-deliveries, mis-deliveries, or service interruptions caused by its own negligence or your errors or omissions. Use of any information obtained via Equine.com's Services is at Users' own risk. Equine.com specifically denies any responsibility for the accuracy or quality of information obtained through its services. LINKS TO THIRD PARTY SITES. As a convenience, links may be provided to third party web sites ("Linked Sites"). Persons accessing this Web Site will observe that the aforementioned Linked Sites are not under the control of Equine.com. Additionally, the third party in control of the Linked Site is responsible for the Linked Site, not Equine.com. In no event shall Equine.com be liable for any damages whatsoever, even if Equine.com has been advised of the possibility of such damages. LIMITATIONS OF WARRANTIES AND LIABILITY EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, EQUINE.COM DISCLAIMS ANY AND ALL EXPRESS WARRANTIES, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES OF MERCHANTABILITY. EQUINE.COM WILL NOT BE LIABLE FOR ANY LOSS OF BUSINESS OR PROFITS, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR SIMILAR DAMAGES, OR OTHER THAN AS SET FORTH IN THIS AGREEMENT, FOR CLAIMS OF DAMAGES MADE BY ANY THIRD PARTY FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT OR IN TORT, INCLUDING NEGLIGENCE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY ACKNOWLEDGES THAT THIS LIMITATION OF LIABILITY REFLECTS AN INFORMED, VOLUNTARY ALLOCATION BETWEEN THE PARTIES OF THE RISKS (KNOWN AND UNKNOWN) THAT MAY EXIST IN CONNECTION WITH THIS AGREEMENT IN NO EVENT WILL EQUINE.COM'S LIABILITY TO EACH USER EXCEED THE TOTAL PRICE OF THE FEES AND CHARGES PAID BY SAID USER TO ECSI. SEVERABILITY. If any provision of this Agreement shall be held invalid or unenforceable, for any reason, the remainder of this agreement shall continue in effect and the invalid or unenforceable provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision. CHOICE OF LAW. The laws of Maricopa County, The State of Arizona, and The United States of America shall govern this Agreement. JURISDICTION AND VENUE. For all disputes related to or arising from the terms of this Agreement, the content, use, and/or loss of use of any data, and/or the use of the Services, shall fall under, and be subject to, the exclusive jurisdiction and venue of Maricopa County, State of Arizona, United States of America. Persons in any jurisdiction which does not give full effect to any and all provisions of this Agreement, will be unable to use the Services. ATTORNEY FEES AND COSTS. In any action brought under this Agreement, the prevailing party shall be entitled to recover its actual costs and attorney fees and all other litigation costs, including expert witness fees, incurred in connections with the enforcement of a judgment arising from such action or proceeding. The provisions of this section shall be several from the provision of this Agreement and shall survive the termination of this Agreement. HEADINGS. The headings preceding each section of this Agreement are included solely for the convenience of the reader and are not a part of this Agreement. SCOPE. This Agreement represents the complete and entire agreement between User and Equine.com, and supersedes any/all prior agreements, communications, and/or notices with respect to the subject matter. WAIVER. No action nor failure to take action on the part of Equine.com to enforce any provision of this Agreement shall represent a waiver of Equine.com's rights, nor shall such acts in any way affect Equine.com's right to take subsequent action. RESERVATION OF RIGHTS. Any rights not expressly granted herein are reserved. ASSIGNMENT AND RESELLING OF SERVICES This Agreement may not be assigned by User or operation of law to any other person, company or entity without express written approval of Equine.com. Users will not be allowed to resell or charge access to the Services covered under this Agreement, unless approved, in writing, by Equine.com. ENTIRE AGREEMENT This Agreement, including all Schedules and attachments, contains the entire agreement of the parties herein relating to the rights granted and obligations assumed herein. Any oral presentations or modifications concerning this instrument shall be of no force or effect unless contained in a subsequent written modifications signed by the party to be charged.
